Terms of Service
These Terms of Service (the “Terms”) constitute a legally binding agreement between PrismHost (“PrismHost”, “we”, “us”, or “our”) and you (“Customer”, “you”, or “your”). The Terms govern your access to and use of the products, services, and website offered by PrismHost (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agreed to these Terms. If you do not accept them, you must not use the Services. Please note that these Terms contain a dispute resolution clause, including an arbitration provision and a waiver of collective claims, which may affect your legal rights.
1. Supplementary Policies
Your use of the Services is further governed by the following policies, each of which is incorporated into these Terms by reference: · Payment and Refund Policy · Privacy Policy · Acceptable Use Policy · Anti-Spam Policy · Domain Registration Agreement Certain Services may carry additional terms, which will apply where relevant. For instance, registering a domain through PrismHost brings the Domain Registration Agreement into effect.
2. Eligibility and Account Registration
By registering for or using the Services, you confirm that: · You are at least eighteen (18) years of age. The Services are not intended for individuals under eighteen, and any use by a minor is unauthorised and constitutes a breach of these Terms. · If you are acting on behalf of a company, partnership, or other organisation, you have the authority to bind that organisation to these Terms and to act on its behalf in all matters relating to the Services. You must provide accurate, current, and complete information during registration, including a valid CNIC (where requested), mobile number, and an email address that is not hosted on the domain you are registering. PrismHost will use the primary email address on file for all account, billing, and abuse-related communication. Keeping your contact details up to date, including those attached to any domain registered through us, is entirely your responsibility. PrismHost shall not be liable for any service interruption or lapsed domain registration resulting from outdated contact information. Contact details may be updated through the PrismHost Client Portal. Providing false or misleading information may result in immediate account termination. For dedicated server orders and certain other purchases, PrismHost may require a copy of your CNIC, NTN, or other verification documents. Orders may be declined if the requested verification is not provided. You are fully responsible for all activity conducted through your account and for safeguarding your login credentials. Requests for additional dedicated IP addresses beyond those included in a hosting plan may be subject to justification, in line with the allocation policies of the relevant regional internet registry. PrismHost reserves the right to decline such requests.
3. Website Migrations
PrismHost's migration team will make reasonable efforts to assist you in transferring your website from your previous host. Complimentary migration is offered for up to ten (10) cPanel accounts, provided that a complete cPanel backup can be obtained from your existing provider and the compressed account size does not exceed 1 GB. Additional migrations are billed at our standard hourly administration rate. PrismHost makes no guarantee as to whether a migration will be possible or how long it will take. Hosting environments vary, and some providers store data in proprietary or incompatible formats that may make full or partial migration unfeasible. Complimentary migration is available for thirty (30) days from the date of sign-up; migrations requested thereafter may be chargeable. PrismHost accepts no liability for any data lost or corrupted during a migration. You remain responsible for maintaining independent backups of your data at all times.
4. PrismHost Content
All material made available through the Services other than Customer Content including designs, text, graphics, images, video, software, audio, and their arrangement (collectively, “PrismHost Content”) is the property of PrismHost or its licensors and is protected under the Copyright Ordinance, 1962 and other applicable laws of Pakistan. PrismHost Content may not be copied, modified, distributed, reproduced, scraped, sold, or otherwise exploited except as expressly permitted in these Terms. You may not reverse engineer, decompile, or attempt to extract source code from any PrismHost Content. Unauthorised use will automatically terminate your right to use the Services. All rights not expressly granted are reserved.
5. Customer Content
You may upload, store, publish, and distribute information, text, images, video, and other material through the Services (“Customer Content”), including content posted by visitors to any website you host with PrismHost (“Customer Websites”). You bear sole responsibility for all Customer Content and for any transactions or activities carried out through Customer Websites. By posting Customer Content, you warrant that you hold all necessary rights to do so and that such content does not infringe the rights of any third party or violate any law of Pakistan, including the Prevention of Electronic Crimes Act, 2016. Backup storage restriction. The home directory of your account may not be used to store backups, including those generated by cPanel, WHM, or third-party applications. All websites are automatically backed up nightly to off-site locations. Customers wishing to maintain their own backups must purchase block storage from PrismHost at the prevailing rate of the applicable monthly rate and storage capacity shown in the Client Portal. PrismHost reserves the right to delete files that breach this restriction, and accounts in violation may be suspended or terminated without notice. For the sole purpose of delivering the Services, you grant PrismHost a non-exclusive, royalty-free licence to use, reproduce, display, modify, translate, excerpt, publish, and distribute Customer Content, and to create archival or backup copies of Customer Content and Customer Websites. PrismHost acquires no other ownership or interest in your content. PrismHost does not monitor Customer Content and accepts no responsibility for it or for any data transmitted through its network. Nevertheless, PrismHost may, at its sole discretion and without obligation, remove any Customer Content or Customer Website and suspend or terminate the Services without refund where these Terms have been breached. PrismHost shall bear no liability for any such corrective action.
6. Third-Party Products and Services
Third-party providers. PrismHost may offer products or services supplied by third parties, which are subject to those providers own terms. Promotional offers from third parties may carry additional restrictions. PrismHost makes no representation regarding the quality, availability, or timeliness of third-party offerings, and you transact with such providers at your own risk. PrismHost is not an agent, representative, or fiduciary of either you or the third-party provider. PrismHost as reseller or licensor. Where PrismHost resells or licenses third-party software, hardware, or services (“Third-Party Products”), PrismHost is not responsible for any change in the Services that renders a Third-Party Product obsolete or affects its performance. Defects in Third-Party Products do not constitute a breach by PrismHost. Your remedies in respect of such products are limited to those provided by the manufacturer. You may use Third-Party Products only in connection with the Services, and you may not copy, alter, reverse engineer, resell, or export them in violation of applicable law. Third-party websites. The Services may contain links to websites or content not owned or controlled by PrismHost. PrismHost does not review or endorse such material and is not responsible for it. Accessing third-party sites is at your own risk, and their terms and privacy practices will govern your use.
7. Restricted Persons and Lawful Use
You may not register for or use the Services if doing so is prohibited under the laws of Pakistan, including any sanctions, designations, or restrictions issued by the Government of Pakistan, the State Bank of Pakistan, or any competent authority, or under applicable United Nations Security Council resolutions implemented in Pakistan. The Services may not be used for any purpose that contravenes Pakistani law, including the Prevention of Electronic Crimes Act, 2016, or any directive of the Pakistan Telecommunication Authority (PTA).
8. Account Security and PrismHost Systems
You are responsible for ensuring that all scripts and applications installed under your account are secure and that directory permissions are set appropriately (755 or more restrictive wherever possible). You remain accountable for all actions taken under your account, including any arising from compromised credentials. A strong password is mandatory; PrismHost may conduct password audits and will notify you and allow reasonable time to update a weak password before suspending the account. PrismHost's systems, networks, and equipment are provided exclusively for authorised customer use. PrismHost may monitor its systems to verify authorised use, protect against unauthorised access, and maintain operational security. Information observed during monitoring may be recorded and used for these purposes, and you consent to such monitoring by using the Services. Any account found accessing a third-party network or system without authorisation may be suspended. PrismHost may require written evidence that such access was permitted. Compromised accounts may be disabled or terminated; if you fail to remediate a reported issue, PrismHost may keep the account disabled. Clean-up assistance is available for an additional fee. PrismHost may migrate your account between data centres within or outside Pakistan to comply with regulatory requirements, data centre policies, or for technical or operational reasons, without prior notice.
9. Sensitive Data Disclaimer
The Services are not designed or certified for the storage of sensitive personal data, including medical records, financial records subject to regulatory controls, or data relating to children. You are solely responsible for compliance with any data protection or privacy law applicable to you in Pakistan. PrismHost does not monitor the data you store or transmit and expressly disclaims any representation that the Services satisfy sector-specific regulatory requirements. Storing regulated health, financial, or similarly sensitive data in a manner that imposes compliance obligations on PrismHost is prohibited and constitutes grounds for immediate termination. PrismHost does not enter into data-processing or business-associate agreements of this nature. Queries regarding data security may be directed to [email protected].
10. Customer Cooperation and Compatibility
You agree to cooperate reasonably with PrismHost in the delivery of the Services and to supply any equipment or software required on your end. PrismHost is not responsible for delays caused by your failure to meet your obligations. You are responsible for ensuring that your Customer Content and Customer Websites remain compatible with PrismHost's hardware and software, which may change from time to time. You accept the risk of loss of Customer Content and acknowledge that PrismHost does not warrant that it backs up your data.
11. Billing and Payment
Multiple accounts. Opening multiple accounts to exploit new-customer discounts is prohibited. Offending accounts will be suspended until all outstanding invoices are settled, and may be terminated without refund. Advance payment. All Services are billed in advance. You must keep your payment details current and pay all invoices on time. Payments received are applied to the oldest outstanding invoice first. Automatic renewal. Unless you cancel the Services, your subscription will renew automatically and be charged to the payment method on file, to avoid any disruption. Taxes. Listed prices exclude applicable taxes, including sales tax on services under federal or provincial law, withholding tax, and any other levy imposed by the Federal Board of Revenue or a provincial revenue authority. Applicable taxes will appear as a separate line item on your invoice. All fees are non-refundable unless otherwise stated. Accepted payment methods. PrismHost accepts payment through the payment methods listed in the Client Portal. All prices are quoted in Pakistani Rupees (PKR) unless otherwise specified. Late payment. Invoices must be settled within four (4) days of the due date. Accounts with invoices outstanding beyond this period may be suspended or terminated, and access will not be restored until payment is received. PrismHost may recover collection costs, including legal fees. New orders will not be activated for accounts with an outstanding balance. Domain payments. Domain renewals are invoiced and processed thirty (30) days before the expiry date. Renewal reminders are provided as a courtesy only, and PrismHost is not responsible for any failure to renew. It is your responsibility to raise a support ticket through the Client Portal with any domain-related billing instructions. Fraud. Misuse or fraudulent use of any payment method violates these Terms. PrismHost may report suspected fraud to law enforcement, including the Federal Investigation Agency (FIA) Cyber Crime Wing, financial institutions, and payment processors. Invoice disputes. You have ninety (90) days from the date of a charge to dispute it. Please contact our billing department for assistance.
12. Cancellations and Refunds
Money-back guarantee. PrismHost offers a thirty (30) day money-back guarantee on web hosting services only. If you cancel within thirty days of signing up, you will receive a refund of the hosting fee paid, less any setup fees. This guarantee does not extend to administrative fees, custom software installation fees, or any other additional services. Gaming server products carry a seventy-two (72) hour money-back guarantee. To claim it, submit a cancellation request and a support ticket within that window. No refund is available after the 72-hour period. Refund eligibility. Refunds are available to first-time customers only. Previously cancelled or duplicate accounts do not qualify. Any breach of these Terms voids your refund entitlement. Non-refundable items. Domain names, dedicated servers, administrative fees, licence fees, and custom installation fees are non-refundable. Domain refunds may be considered at PrismHost's sole discretion only where the domain was purchased alongside a hosting package, and any such refund will be reduced by the market cost of the domain. Country-code domains, including .pk, are strictly non-refundable. Payment method restrictions. No refunds are issued for payments made by bank transfer, cheque, or similar methods. Any eligible credit will instead be applied to your PrismHost account balance. Cancellation procedure. Cancellations must be submitted in writing through the cancellation form in the Client Portal. Upon cancellation, you remain liable for all fees accrued up to the effective date, and no refund is issued for the unused portion of the term except under the 30-day guarantee. Once your request is received and verified by email, PrismHost will confirm the cancellation in writing with a ticket reference number. If you do not receive an automatic acknowledgment within a few minutes of submitting the form, contact us immediately. This process exists to confirm your identity, document the request, and ensure you understand that your files, emails, and data may be permanently deleted once the cancellation is processed. Cancellations for shared hosting accounts take effect on the renewal date. Domains. To cancel a domain, you must raise a support ticket at least thirty (30) days before the renewal date. Once a domain has been renewed, no refund is possible. All domain registrations and renewals are final. Currency. All refunds are processed in Pakistani Rupees. Where a payment was made in another currency, the refund will reflect the exchange rate on the date of the refund, and PrismHost is not responsible for any fluctuation.
13. Termination by PrismHost
PrismHost may suspend or terminate your access to the Services, in whole or in part and without notice, if you fail to pay any fees, breach these Terms, engage in conduct that may harm PrismHost or others or expose PrismHost to liability, or as otherwise provided herein. In such cases, no advance payments will be refunded, you remain liable for all accrued charges, and PrismHost may charge the fees due for the remainder of the current term. Upon termination for any reason, all Customer Content, Customer Websites, and associated data will be deleted.
14. Resource Usage
Permitted use. Shared hosting space may be used only for website files, active email, and the content of Customer Websites. It may not be used as general storage, offsite backup, media archive, or an FTP repository. PrismHost reserves the right to review any shared account for excessive CPU, disk, or other resource consumption and may terminate access, apply additional fees, or remove content from accounts found in breach of these Terms or the Acceptable Use Policy. VPS managed services. Manually installing modules or bypassing WHM/cPanel may void your managed service entitlement. Bandwidth. Shared hosting plans are not subject to bandwidth caps. Uptime guarantee. PrismHost targets 99.9% uptime for shared and reseller hosting. If physical server downtime falls below this threshold, you may request an account credit, which is granted at PrismHost's sole discretion based on the justification provided. Planned maintenance is excluded. Reports from third-party monitoring services are not accepted as evidence, as they are affected by network transit and other external factors. Uptime is measured by the operating system and web server, which may differ from the availability of individual services. Credit requests must be submitted via support ticket to the billing department. The uptime guarantee applies only to shared and reseller plans.
15. Price Changes
PrismHost may revise its prices or any other charges at any time, with at least thirty (30) days notice before any increase takes effect. It is your responsibility to review billing information provided through the Client Portal or other notices from PrismHost.
16. Promotional Codes
Discounts and promotional codes are reserved for first-time customers and may not be applied to domain registrations unless expressly stated. A domain previously used to claim a promotion may not be re-registered under a new promotion. Accounts found abusing promotional offers will be reviewed and the appropriate charges applied; repeated abuse may lead to suspension or termination. Promotional pricing applies to the initial term only and does not affect renewal rates.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF PAKISTAN, PrismHost AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES OR ANY CONTENT ACCESSED THROUGH THEM, EVEN IF PrismHost HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PrismHost's TOTAL AGGREGATE LIABILITY TO YOU, OR ANY PARTY CLAIMING THROUGH YOU, FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE AMOUNT YOU PAID TO PrismHost FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS DO NOT INCREASE THIS LIMIT.
18. Indemnification
You agree to indemnify, defend, and hold harmless PrismHost, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, suits, demands, proceedings, and expenses (including reasonable legal fees) brought by any third party and arising from your use of the Services, your breach of these Terms, or any act or omission on your part. This obligation survives termination of these Terms.
19. Independent Contractors
PrismHost and the Customer are independent contracting parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Neither party may represent that it has authority to bind the other.
20. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to binding arbitration under the Arbitration Act, 1940 (or any successor legislation), before a sole arbitrator appointed by mutual agreement or, failing agreement, by a court of competent jurisdiction in Pakistan. Arbitration shall be conducted in English or Urdu as the parties agree, with the seat of arbitration in Pakistan. Each party shall bear its own costs unless the arbitrator directs otherwise. The arbitrators award shall be final and binding and may be enforced in any court of competent jurisdiction. Where permitted, hearings may be conducted electronically. Individual claims only. To the fullest extent permitted by law, all disputes shall be resolved on an individual basis. You agree not to bring or participate in any class, collective, or representative action against PrismHost, and no arbitration shall be joined or consolidated with any other proceeding without the written consent of all parties. Court jurisdiction. Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction, and disputes concerning intellectual property ownership or infringement may be decided only by a court. If arbitration is unavailable or unenforceable, the courts in Pakistan shall have exclusive jurisdiction. Time limit. Any claim arising out of these Terms or the Services must be brought within one (1) year of the date on which the claim arose, failing which it shall be permanently barred, to the extent permitted by applicable law. Opt-out. You may opt out of the arbitration provision by sending written notice within thirty (30) days of accepting these Terms or purchasing a subscription, whichever is earlier, to: PrismHost, via the Client Portal, Attention: Arbitration Opt-Out. The notice must include your name, address, account details, and a clear statement that you decline arbitration. If you opt out, disputes shall be heard exclusively by the courts in Pakistan. Consumer rights. Nothing in this section limits any right you may have under applicable provincial consumer protection legislation in Pakistan that cannot be waived by contract.
21. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PrismHost AND ITS AFFILIATES, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PrismHost DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FULLY SECURE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS OBTAINED FROM THE SERVICES OR THE ACCURACY OF ANY INFORMATION PROVIDED THROUGH THEM. PrismHost IS NOT RESPONSIBLE FOR ANY LOSS YOUR BUSINESS MAY SUFFER, INCLUDING LOSS OF DATA DUE TO DELAYS, DELIVERY FAILURES, OR SERVICE INTERRUPTIONS. PrismHost DISCLAIMS ALL LIABILITY FOR THE CONTENT OF DATA TRANSFERRED OR STORED BY CUSTOMERS THROUGH THE SERVICES. THIS SECTION SURVIVES TERMINATION.
22. Backups and Data Loss
You use the Services at your own risk. PrismHost's backup process runs once nightly and overwrites the previous backup, so only a single nights backup is retained at any time. This backup is a courtesy offered to shared and reseller accounts only and may be altered or withdrawn at PrismHost's discretion. VPS accounts are not backed up. Accounts exceeding 20 GB or 100,000 inodes are excluded from nightly backups. PrismHost accepts no responsibility for files or data on your account, and you agree to maintain your own complete and current backups.
23. Disclosure to Authorities
PrismHost may disclose customer information to law enforcement or regulatory authorities in Pakistan including the FIA, PTA, or any court or competent authority upon lawful request, in connection with an investigation or legal process, without further notice or consent. PrismHost cooperates fully with lawful requests. Further disclosures may occur in accordance with our Privacy Policy.
24. General Provisions
Entire agreement. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and PrismHost and supersede all prior discussions and understandings. Headings. Section headings are for convenience only and do not form part of these Terms. Amendments. PrismHost may modify these Terms at any time. Material changes will be announced on the PrismHost website for at least thirty (30) days, and the date of the latest revision will appear at the foot of this document. Changes take effect upon posting unless otherwise stated, and your continued use of the Services constitutes acceptance. PrismHost may also modify or discontinue any aspect of the Services at any time. Severability. If any provision is found unlawful or unenforceable by a competent court, the remaining provisions shall remain in full force. Waiver. Failure or delay by either party to enforce any right shall not operate as a waiver of that right or any other right. Assignment. You may not assign or transfer these Terms or any rights under them without PrismHost's prior written consent; any attempted assignment is void. PrismHost may assign its rights and obligations, and may engage subcontractors, without your consent. These Terms bind and benefit the parties and their permitted successors. Force majeure. Neither party is liable for delay or failure in performance (other than payment obligations) caused by events beyond its reasonable control, including fire, flood, earthquake, acts of God, civil unrest, strikes, war or terrorism, power or telecommunications failures, government action, or supply shortages. Electronic communications. Communications between you and PrismHost take place electronically, whether through the Client Portal, email, SMS, or mobile notification. You consent to receive communications electronically and agree that such communications satisfy any legal requirement for written notice, subject to the Electronic Transactions Ordinance, 2002 and your non-waivable statutory rights. Third-party beneficiaries. Except as expressly stated, these Terms confer no rights on any person other than the parties and their permitted successors. Any supplier of a third-party product identified as an intended beneficiary in a service description may enforce the provisions of these Terms relating to its product directly against you.
